1. Pricing & Payment Terms
Projects are billed either hourly or by a flat project fee, depending on scope. For new clients, 25% of the estimated cost is due upon signing of the proposal to begin work.
- Invoices are due upon receipt unless otherwise arranged.
- A 2% monthly late fee applies after 30 days past due.
- All fees are non-refundable.
- Copyright or usage rights are granted only upon receipt of full payment.
- The client is responsible for any legal or collection fees due to nonpayment.
2. Project Process
Most projects begin with one or two design or development concepts. After review and feedback, we agree on a direction for further development.
- Minor revisions are expected.
- Major changes or additional features may be billed beyond the original estimate, following client approval.
3. Client Approvals
- If work-in-progress is not approved or responded to within 21 days, it may be billed as complete to date.
- Final approval is required before deployment or file delivery. The client assumes responsibility for reviewing all deliverables thoroughly.
4. Proofreading
Textured Pixel does not provide proofreading services. Clients are responsible for reviewing all written content prior to publishing.
5. Scope of Work
All work and deliverables will follow the scope defined in the estimate or proposal. Requests outside of that scope will be quoted separately. No out-of-scope work will begin without prior client approval.
6. Third-Party Expenses
Clients may be responsible for additional third-party costs related to their project. These may include:
- Licensing or royalty fees for images, fonts, or plugins
- Paid third-party integrations or platforms
7. Hosting & Email Services
Textured Pixel offers hosting or email through third-party providers such as AWS, Name.com, or Google. While we manage services on your behalf:
- These providers have their own terms and conditions.
- We are not liable for downtime or service issues caused by third parties.
- Clients must adhere to acceptable use policies, including not using services for spam or illegal content.
8. Intellectual Property & Code Ownership
- Upon full payment, copyright for designs and content created specifically for the project is transferred to the client.
- Unless otherwise stated, Textured Pixel retains copyright ownership of all underlying code and development frameworks.
- Clients may not redistribute, sublicense, or resell this code without explicit written permission.
9. Logo Research & Legal
Textured Pixel does not perform legal name or trademark searches. We recommend consulting an attorney for brand clearance and protection. We are not responsible for legal conflicts that arise from a client's chosen name, slogan, or design.
10. Client Responsibilities & Warranties
Clients warrant that all materials they provide (text, images, logos, code, etc.) are legally owned or licensed and do not infringe on any third-party rights. Clients agree to indemnify and hold Textured Pixel harmless from any legal claims related to content they supply.
11. Limited Liability
In no event will Textured Pixel, LLC be liable for damages beyond the amount paid for the specific project. We are not responsible for incidental or consequential damages, including loss of profits, data, or business opportunities.
12. Project Termination
Either party may terminate the project at any time. In such cases, the client will be invoiced for all completed work to date. Deposits are non-refundable.
13. Promotional Use
Textured Pixel may showcase completed work in its portfolio or promotional materials, including on its website or social media, unless otherwise requested in writing.
14. Governing Law
This agreement shall be governed by the laws of the Commonwealth of Pennsylvania.
